1. ACCEPTANCE OF TERMS |
|
Welcome to 1stfarmcredit.com (the "Site"), a web site provided to you ("you") by 1st Farm Credit Services, ACA and its wholly-owned subsidiaries, 1st Farm Credit Services, FLCA and 1st Farm Credit Services, PCA. The three Associations are collectively referred to herein as "1st Farm Credit Services" or "Associations" and each is individually referred to as an "Association".
The Terms and Conditions of Service include any posted guidelines or rules applicable to particular Services (as defined below) and, as updated by 1st Farm Credit Services from time to time, are collectively referred to as the "Terms and Conditions" and govern your use of the Site and Services. You should carefully read the Terms and Conditions before using our Site or the Services. By using our Site or the Services you agree to be bound by the Terms and Conditions. If you do not agree with the Terms and Conditions, you should not use the Site or the Services. You should also read our Privacy Policy set out in the Privacy Statement on the Site.
1st Farm Credit Services may change these Terms and Conditions from time-to-time. If such a change is made, 1st Farm Credit Services will post the revised Terms and Conditions on the Site. 1st Farm Credit Services reserves the right to add to or change the Services offered or to cease offering any or all of the Services at any time. |

2. SERVICES |
|
The Site includes information about products and services that are offered by 1st Farm Credit Services to U. S. agriculture and rural America, such as loans, leases, insurance, appraisals, Farm Cash ManagementSM accounts, and online requests for these services. The Information Center on the Site may also provide other information, such as agricultural news and columns, weather updates, information on commodities, cash bids, a loan calculator, equipment value guide and a calendar of events ("Information Center Services").
1st Farm Credit Services provides a link through which you can access the Online Banking Services. Please note that the Online Banking Services are provided by AgriBank, FCB on AgriBank’s site and are further described in Section 4 below.
Collectively, the provision of the information, products and services on or through the Site, including but not limited to the Information Center Services, the Request Center Services, and the Online Banking Services are referred to in these Terms and Conditions as the "Services." |

4. SERVICES OFFERED |
The information and descriptions of the Services provided are intended as general information and are not necessarily complete descriptions of all terms, exclusions and conditions applicable to the products and services offered by 1st Farm Credit Services. 1st Farm Credit Services, ACA is a member-owned cooperative which through its subsidiary Associations provides credit and credit-related services to or for the benefit of eligible shareholders for qualified agricultural purposes in forty-two counties in the State of Illinois. 1st Farm Credit Services makes no representations that information and offerings or the Services provided through the Site are appropriate or available for use outside its forty-two county service territory in Illinois. The counties served by 1st Farm Credit Services are: All of the Illinois counties of Adams, Boone, Brown, Bureau, Carroll, Cook, DeKalb, DuPage, Fulton, Grundy, Hancock, Henderson, Henry, JoDaviess, Kane, Kankakee, Kendall, Knox, Lake, LaSalle, Lee, Livingston, Marshall, Mason, McDonough, McHenry, McLean, Mercer, Ogle, Peoria, Pike, Putnam, Rock Island, Schuyler, Stark, Stephenson, Tazewell, Warren, Whiteside, Will, Winnebago, and Woodford.
The Associations are lending institutions of the Farm Credit System which was established by Congress to meet the credit needs of American agriculture. They are regulated by the Farm Credit Administration ("FCA"), a federal agency. The Associations are authorized to provide, either directly or in participation with other lenders, credit and related services to eligible borrowers. Eligible borrowers may include farmers, ranchers, producers or harvesters of aquatic products, rural residents, certain processing or marketing operations, and farm-related service businesses. 1st Farm Credit Services, ACA does not directly make loans or provide services, rather they are provided through its wholly-owned subsidiary Associations. 1st Farm Credit Services, FLCA makes secured long-term agricultural real estate and rural home mortgage loans and provides agricultural facility leases. 1st Farm Credit Services, PCA makes short- and intermediate- term loans and provides agricultural equipment leases. 1st Farm Credit Services offers various risk management services, including various types of crop insurance, life and disability insurance, and hail insurance for members and borrowers. 1st Farm Credit Services also offers fee appraisal services to persons eligible to borrow and others in accordance with FCA regulations. In addition the Associations can participate with other lenders in loans to similar entities. Similar entities are parties that are not eligible for a loan from a Farm Credit System lending institution, but have operations that are functionally similar to the activities of eligible borrowers. The Associations are also authorized to purchase and hold certain types of investments.
Not all products and services described in the Services are available in all geographic areas. The Associations are authorized to make loans and offer credit-related services outside their forty-two county territory in the State of Illinois only in accordance with territorial concurrence regulations adopted by the FCA. Product and service availability and your eligibility for such products and services varies by your geographical location; the specific terms, conditions and requirements of the products and services; and the governing provisions of the federal Farm Credit Act and FCA Regulations. Your eligibility for particular products and services is subject to the applicable Association’s final determination and approval. Services offered on the Site should not be construed as approval of a loan, lease, insurance application, or other financial service, unless you receive a written notice of approval from 1st Farm Credit Services. You understand that 1st Farm Credit Services is not rendering legal, accounting or any other professional advice or opinions on specific facts or matters and, accordingly, 1st Farm Credit Services does not assume any responsibility whatsoever in connection with your use of or reliance on the Services.
- INTEREST RATE QUOTE SERVICE
As part of the Services offered through the Site, you may have the opportunity to request what interest rates are currently available. The Rate Quote Service is available only on certain agricultural loan and lease products and loan products for certain rural residences. To qualify to use these services, you must be a United States farmer, rancher, or a rural resident in open country within a state of the United States, which may include a town or village that has a population of not more than 2,500 persons. 1st Farm Credit Services may contact you by email, telephone or regular mail at the address or telephone number you provide when you contact us. As a condition of using these services, 1st Farm Credit Services’ liability to you is limited as set forth elsewhere in these Terms and Conditions. Interest rates change on a frequent basis. If 1st Farm Credit Services notifies you of an interest rate, you understand that it is not obligated to hold the rate at this level for you for any period of time. You further understand that by the Association’s notifying you of a particular rate, you have not been approved for a loan or lease nor is there any guarantee that you will qualify for a loan or lease or for this interest rate. The Rate Quote Service is not loan or lease applications, nor loan or lease approvals.
- INFORMATION CENTER SERVICES
You assume total responsibility and risk for your use of the Information Center Services. It is solely your responsibility to evaluate the accuracy, completeness and usefulness of all information provided in the Information Center Services.
If you have Association accounts and wish to access them or transfer funds to or from your accounts through this Site or otherwise make use of any online banking services ("Online Banking Services"), you must also enter into written agreements with the Association, including an Electronic Fund Transfer Agreement and Disclosures. These transactions are subject to the provisions of such agreements in addition to the Terms and Conditions of this Site and AgriBank, FCB’s site. Please be aware that when you access the Online Banking Services you are linking to a web site owned by AgriBank, FCB. You are no longer on 1st Farm Credit Services’ Site. |

5. DISCLAIMER OF WARRANTIES |

INFORMATION CENTER SERVICES MAY NOT BE APPROPRIATE OR SATISFACTORY FOR YOUR USE, AND YOU SHOULD VERIFY ALL INFORMATION BEFORE RELYING ON IT. ANY DECISIONS MADE BASED ON INFORMATION CONTAINED IN THE SITE, INCLUDING INFORMATION RECEIVED THROUGH YOUR USE OF THE INFORMATION CENTER SERVICES ARE YOUR SOLE RESPONSIBILITY.
THE USE OF THE SITE AND SERVICES IS SOLELY AT YOUR OWN RISK. 6. EXCLUSIONS AND LIMITATION OF LIABILITY |

YOU EXPRESSLY UNDERSTAND AND AGREE THAT 1st FARM CREDIT SERVICES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA LOSS, OR OTHER LOSSES (EVEN IF 1st FARM CREDIT SERVICES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM: (i) THE USE OR INABILITY TO USE THE SITE OR SERVICES, (ii) THE COST OF PROCUREMENT OF ANY SUBSTITUTE GOODS AND/OR SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES OBTAINED OR WHICH YOU WERE UNABLE TO OBTAIN OR TRANSACTIONS EFFECTED OR FAILED TO BE EFFECTED, (iii) ANY LINK PROVIDED IN CONNECTION WITH THE SERVICES, (iv) YOUR RELIANCE ON ANY OF THE SERVICES; (v) THE INTERRUPTION, SUSPENSION, TERMINATION OF ANY SERVICES HEREUNDER, OR (vi) ANY MATTER OTHERWISE RELATED TO YOUR USE OF THE SITE OR SERVICES. IN NO EVENT SHALL 1st FARM CREDIT SERVICES’ LIABILITY TO YOU RELATING TO YOUR USE OF THE SITE AND/OR SERVICES EXCEED $100. |

7. DISCLAIMER OF CONTENT |

You understand and agree that all information, data and other material provided in connection with the Site and Services, including the Information Center Services ("Content"), is the responsibility of the person or entity providing such Content. You understand and acknowledge that 1st Farm Credit Services assumes no responsibility to screen or review Content provided as part of the Services. 1st Farm Credit Services shall have the right, but not the obligation, in its sole discretion to refuse, monitor, or remove any Content that is available on the Site or through use of the Services. 1st Farm Credit Services expressly disclaims all responsibility or liability to you or any other person or entity for the performance or nonperformance of Content review. You acknowledge and agree that such links are provided for your convenience and do not reflect any endorsement by 1st Farm Credit Services with respect to the provider of such linked site or the products, services, quality, reliability or any other characteristic or feature of such linked site and 1st Farm Credit Services is not responsible in any manner (including without limitation with respect to any loss or injury you suffer) for any matter associated with the linked site, including without limitation, the content provided on or through any such linked site or your reliance thereon. 1st FARM CREDIT SERVICES MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO ANY LINKED SITE: YOUR USE OF ANY LINKED SITE IS SOLELY AT YOUR OWN RISK. 10. INDEMNITY |

You agree to hold harmless and indemnify 1st Farm Credit Services and its affiliates, officers, directors, and employees from and against any and all third party claims, demands, proceedings and any losses, liabilities, damages, costs, payments and expenses, including reasonable attorneys’ fees, costs and expenses arising out of, directly or indirectly, your use of the Site or Services including, without limitation (a) any Content thereon, and (b) any use of the Site or Services that violates the Terms and Conditions. |

11. TRADEMARK INFORMATION |

"1st Farm Credit Services" is a trademark owned by 1st Farm Credit Services. Other trademarks are used with the permission of their respective owners. You agree not to use or display trademarks without the prior written consent of 1st Farm Credit Services or the owner of such mark. |

12. COPYRIGHT INFORMATION |
|
The Content of the Services is owned by 1st Farm Credit Services and third parties and is protected by the United States Copyright Act of 1976, as amended, and the copyright laws of other countries. Certain materials are used by permission of their respective owners. The Content of the Services, including graphics, images, buttons, and text, may not be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way without the prior written permission of 1st Farm Credit Services, except that, subject to your compliance with the Terms and Conditions, 1st Farm Credit Services authorizes you to view or download a single copy of the Content provided that you keep intact all copyright, trademark, and other proprietary notices. Modification of Content or use of Content for any other purpose is a violation of the rights of 1st Farm Credit Services, or third parties. Nothing herein shall be construed as conferring by implication, estoppel, or otherwise, any license or right under any copyright, patent, trademark or other proprietary interest of 1st Farm Credit Services, or third parties.
1st Farm Credit Services reserves the right to terminate your use of the Services in appropriate circumstances if you infringe upon the intellectual property rights of any third party. 13. JURISDICTION AND VENUE |
|
You and 1st Farm Credit Services agree that this Agreement and the relationship between you and 1st Farm Credit Services will be governed by the laws of the State of Illinois, without respect to its conflict of laws provisions and that venue with respect to any dispute between you and 1st Farm Credit Services will rest exclusively in the courts of McLean County, Illinois and the federal court for the District Court of the Central District of Illinois. |

14. MISCELLANEOUS |
|
The Terms and Conditions constitute the entire agreement between you and 1st Farm Credit Services and govern your use of the Site and Services. There is no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between you and 1st Farm Credit Services. You also may be subject to additional terms and conditions that may apply when you use third party content or services available through the Site or Services. If any provision of the Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of the Terms and Conditions, which shall remain in full force and effect. The failure of 1st Farm Credit Services to exercise or enforce any right or provision of the Terms and Conditions shall not constitute a waiver of such right or condition. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the Site, Services or the Terms and Conditions must be filed within one year after such claim or cause of action arose. The section titles of the Terms and Conditions are merely for convenience and will not have any effect on the substantive meaning of this Agreement.
